Cherryhill Neighborhood Association Bylaws

ARTICLE I
TERMS AND DEFINITIONS

Section 1. Name: The name of this association shall be Cherryhill Neighborhood Association, hereafter referred to as CNA.

Section 2. Territory: CNA is located in the City of Sunnyvale, County of Santa Clara, State of California, and is bounded by the following streets: West Remington Drive on the north, South Mary Avenue on the east, West Fremont Avenue on the south, and Interstate 85 on the west.

Section 3. Organized Blocks: Organized blocks are areas within the CNA territory that have an assigned Block Representative.

ARTICLE II
PURPOSE

The purpose of this association shall be to provide a venue for the expression of the desires of the people living within CNA, and property owners within CNA. CNA shall serve as a base for communication among members of this community.

CNA supports the following goals:

To promote community involvement and participation.
To establish and maintain a line of communication between the City of Sunnyvale and the residents of the community.
To provide a community voice to city staff, school personnel, and the community at large concerning the implementation of services, community needs, and events.
To recruit volunteers and sponsors to aid in service to the community
To enhance the quality of life within the area.

ARTICLE III
MEMBERSHIP AND MEETINGS

Section 1. Eligibility: To be eligible for membership, a person must be a least 18 years of age, must subscribe to the goals and aims of the association, and must either reside within, or own property in the CNA area.

Section 2. Membership: Membership and voting privileges shall be conferred upon any person who meets the eligibility requirements, is listed on our roster, and is in attendance at a scheduled meeting.

Section 3. Voting: Each member, up to a maximum of two per household, shall have the right to cast a vote.

Section 4. Scheduled Meetings: CNA shall hold scheduled meetings on the first Monday of each month of each quarter; January, April, July, and September; with a goal of holding scheduled meetings on the first Monday of every month. Meetings shall be open to the public. Attendance shall be taken at each meeting. Minutes shall be taken by the secretary at each meeting and published in the next CNA newsletter and/or posted promptly on the association’s website. In the absence of the secretary the minutes shall be taken by a designee appointed by the meeting’s chairperson.

Section 5. Special Meetings: If extreme circumstances require action before the next regular meeting, special meetings may be called by the chairperson, vice chairperson and one other officer of the association.

Section 6. Voting Method: For regular agenda items, voting may be through a show of hands or verbal assent. For election of officers, voting shall be by secret ballot. The votes shall be counted immediately by two members, not officers, designated by the chairperson. The results shall be recorded and published by the secretary.

Section 7. Quorum: No vote of the membership shall be valid unless a minimum of nine members are present.

ARTICLE IV
OFFICERS

Section 1. Elected Officers: The positions of chairperson, vice chairperson, secretary, and treasurer shall be filled by election at the last scheduled meeting of the year. All candidates must be members.

Section 2. Term of Office: Term of office shall be one year beginning in January.

Section 3. Vacancies: In the event that an office becomes vacant, the remaining officers may shall designate a member to serve the remainder of the term. Members shall vote to confirm or replace the designee at the next scheduled meeting.

Section 4. Compensation: Officers shall not receive any salaries or other compensation for their services. Neither officers, nor members of their immediate families may be employed by the association or receive compensation for services provided to the association. With the approval of the membership, officers may be reimbursed for expenses required in the performance of their duties upon submission of an expense report.

Section 5. Duties of the Chairperson: The chairperson shall coordinate the activities of the association , approve and sign all outgoing CNA correspondence, and approve all newsletters, flyers, web postings, and external email. The chairperson shall shall prepare an agenda and lead meetings. He shall submit a monthly report.

Section 6. Duties of the Vice Chairperson: In the absence of the chairperson, the vice chairperson shall act as chairperson. The vice chairperson shall arrange the location of all scheduled meetings, check the CNA post office box weekly, and deliver mail to the other officers as appropriate.

Section 7. Duties of the Secretary: The secretary shall prepare all outgoing CNA correspondence and submit it to the chairperson. The secretary shall maintain CNA correspondence files and maintain the e-mail list. The secretary, or delegate, shall prepare, duplicate, and distribute newsletters to the members. All correspondence shall be in electronic format, readable using readily available applications software (Microsoft WORD, Microsoft Excel, etc.). The master copy of all electronic correspondence shall be maintained by the secretary.

Section 8. Duties of the Treasurer: The treasurer shall maintain all CNA financial records, lead the annual budget process by assisting in the development of project budgets, maintain records of ongoing projects, lead efforts to define financial policies and procedures, and shall submit a monthly financial report. The treasurer shall maintain a bank account for the association. The treasurer is a required signatory on the CNA checking account. All checks issued by the organization shall require the signature of the treasurer and one other officer. All expenses to be reimbursed shall require a receipt or an itemized, signed, dated expense report submitted to the treasurer.

Section 9. The Board of Officers: The Board of Officers (the “Board”) shall consist of the Chairperson, Vice Chairperson, Secretary, Treasurer, 1st Past Chairperson, 2nd Past Chairperson, and a Member at Large. The Board of Officers shall be empowered to meet independently of the membership to conduct the business of the association, plan meetings, invite speakers, set the association calendar, reserve meeting places, and otherwise conduct business that does not immediately involve the entire membership. The board may prepare and propose items for the membership approval. The membership shall be required to approve board actions at scheduled meetings.

ARTICLE V
COMMITTEES

Section 1. Scope: Committees shall be formed for the purpose of delegating work on specific projects. Committees shall be created as the need arises with approval of the membership.

Section 2. Membership: Any member may serve on a committee.

Section 3. Committee Chairperson: Any member may be elected to serve as the chairperson of a committee. Elections may be held at any scheduled meeting.

ARTICLE VI
COMMUNICATION BETWEEN MEMBERS AND OFFICERS

All communications between members and officers shall be by electronic means including email and the association website. Printed communication shall be provided by the block representatives, as required, for members who do not have access to electronic communication.

A monthly (quarterly if meetings are held quarterly) newsletter shall be published by the association’s newsletter editor.

The association shall maintain a moderated Yahoo Group, or equivalent, for the convenience of the members. Be advised that Yahoo groups are not secure, and shall be used at members’ own risk. No personal information shall be posted. Any member may post to the group. The moderator may remove offensive postings at his discretion.

The association shall establish and maintain a website for the convenience of the members. The website is not secure, and shall not be used for any personal information. It shall list the officers, the purpose of the association, the newsletter, and the scheduled meetings as a minimum.

ARTICLE VII
BLOCK REPRESENTATIVES

Section 1. Eligibility: Any member may volunteer to be a block representative.

Section 2. Duties: Block representatives shall be responsible for delivering the monthly newsletter and other notices to all residences within their respective areas who do not receive the correspondence electronically. Block representatives shall bring relevant issues to the attention of the membership. Block representatives shall inform new property owners in their area of the existance and benefits of CNA.

ARTICLE VIII
DISSOLUTION OF ASSETS

The property of CNA is irrevocably dedicated to education, preservation, maintenance, and enhancement of the community. No part of the association income shall be used for the benefit of any member of the association or its committees. Upon dissolution of the association, any assets remaining after payment of debt and liabilities shall be distributed to Sunnyvale Community Services , or a local equivalent.

ARTICLE IX
APPROVAL

Approved unanimously by CNA members at the scheduled meeting on 28 June 2008.
